Terms And Conditions Of Use
This page (together with our Privacy Policy, Terms of website use and Website Acceptable Use Policy) tells you information about us and the legal terms and conditions (Venue Finding Terms) on which we provide our Venue Finding Services listed on our websites to our Customers.
We amend these Venue Finding Terms from time to time as set out in clause 11. Every time You wish to order Venue Finding Services, please check these Venue Finding Terms to ensure You understand the terms which will apply at that time. These Venue Finding Terms, and any Agreement between us, are only in the English language.
1.1 These Venue Finding Terms will apply to any Agreement between us for the provision of Venue Finding Services to You (Agreement). Please read these Venue Finding Terms carefully and make sure that You understand them, before ordering any Venue Finding Services from our site. Please note that by ordering any of our Venue Finding Services, You agree to be bound by these Venue Finding Terms and the other documents expressly referred to in them.
1.2 Please click on the button marked "I Accept" at the end of these Venue Finding Terms if You accept them. You will not be able to obtain any Venue Finding Services Us.
1.3 You must be at least 18 years old to make a booking and have legal capacity to be bound by these Venue Finding Terms
1.4 You acknowledge and agree that You have authority to act for or on behalf of, and to bind to any Agreement, any person included in a booking. You should print a copy of these Venue Finding Terms or save them to Your computer for future reference.
1.5 We provide Venue Finding Services pursuant to these Venue Finding Terms that facilitate transactions between You and Suppliers.
1.6 Therefore, when You utilise our Venue Finding Services to order Product(s) Your Agreement for the provision of the Product is directly between You and the Supplier, and these Venue Finding Terms and Conditions are Your agreement with us solely in respect of Your use of our Venue Finding Services. For information regarding when and how Your Agreement is formed with the Supplier (and other important Supplier terms such as amendments and cancellation), please see clause 9 and the Supplier's terms and conditions of business
2.1 The following definitions will apply to these Venue Finding Terms:
"Booking Confirmation" means our written notification to You that we have sent the Booking Request to the relevant Supplier.
"Booking Request" means a written request sent by Us on behalf of the Customer to the Supplier containing Your offer to purchase such Supplier's Products subject to the Supplier's own terms and conditions.
"Venue Finding Services" means the facilitation of transactions between You and a Supplier (or Suppliers) and includes:
(a) The provision of assistance to the Customer in identifying potential Suppliers appropriate to the Customer's stated requirements;
(b) Checking availability and negotiating prices with Suppliers;
(c) Sending Proposal to Customer;
(d) Sending Booking Request to Suppliers;
"Customer" means any person or organisation (accepted by Us) requesting our Venue Finding Services pursuant to these Venue Finding Terms.
"Product" means and service or facility offered by Suppliers, including (without limitation) accommodation, conferencing facilities, catering, leisure facilities and any complementary or similar services and/or facilities.
"Proposal" means Our written summary of the Products offered by a Supplier which We consider most closely matches Your requirements, together with the Supplier's prices and the relevant location(s) and applicable dates.
"Supplier" means the providers of Products, as required by the Customer, subject to contractual terms directly between the Customer and such provider.
"We, Us Our" means Conferences UK Limited, more particularly described at clause 3.1.
You or Your means the Customer (and/or any Authorised User).
3.1 We operate the websites www.conferences-uk.org.uk, www.conferencevenues.com and www.conferencesgroup.com. We are Conferences UK Limited, a company registered in England and Wales under company number 05308243 and with our registered office at The Old Church, Albert Hill Street, Manchester, M20 6RF. 3.2 To contact us, please see our Contact Us page on the above websites or write to us at our registered address stated above.
We will provide the Venue Finding Services to Customers in accordance with these Venue Finding Terms.
Your use of our site is governed by our Terms of website use and Website Acceptable Use Policy. Please take the time to read these, as they include important terms which apply to You.
We only use Your personal information in accordance our Privacy Policy. For details, please see our Privacy Policy. Please take the time to read these, as they include important terms which apply to You.
7.1 You confirm that You have authority to bind any business on whose behalf You use our Venue Finding Services.
7.2 You will provide information to us that is complete, true, accurate and not misleading.
7.3 You will notify us promptly of any changes to Your information or your requirements.
7.4 You are responsible for:
(a) Ensuring that You have suitable equipment and/or software in order to access the Venue Finding Services;
(b) The accuracy and reliability of any data that You may provide to Us in order for Us to provide the Venue Finding Services;
(c) Making a reasonable inspection of any Proposal to ascertain whether there are any defects or errors;
(d) Complying with any time limits specified in the Proposal;
(e) Complying with our Privacy Policy, Terms of website use and Website Acceptable Use Policy;
(f) Complying with the Supplier's terms and conditions of business.
8.1 We act as agent for the Supplier; when We display Suppliers' Products on our websites or other marketing information, We are, on behalf of the Supplier, inviting You to make an offer for their purchase directly from the Supplier.
8.2 Before You can order any Venue Finding Services from us, whether via telephone enquiry, email enquiry, website enquiry or enquiry via one of our associates websites, the Customer will be asked to complete our registration process. We reserve the right to decline any application at our discretion..
8.3 If We accept Your application, one of our representatives will contact You to discuss Your requirements.
8.4 We will send You a Proposal by email within the estimated timescale agreed with our representative. If You wish to proceed with the Proposal, You must communicate this to us [by email] [or by telephone] within [ ] days from the date of the Proposal, otherwise the Proposal will lapse.
8.5 Please take the time to read and check the details on the Proposal, as this will form the basis of Your order to the Supplier.
8.6 If You confirm Your wish to proceed with the Proposal in accordance with 8.5 above, we will send the Booking Request to the Supplier. For the avoidance of doubt, the Booking Request is Your offer to purchase such Supplier's Products subject to the Supplier's own terms and conditions and the Supplier can refuse to accept this offer at its discretion, for which we will have no liability.
8.7 We will confirm the Booking Request has been sent to the Supplier by sending You a Booking Confirmation. Please note that this does not confirm that the Supplier has accepted Your offer to purchase their Products. The Supplier will send You directly its own terms and conditions and You must comply with these in order to secure Your requirements.
9.1 Your contract with the Supplier for the Product is formed as follows: Once We have sent the Booking Request to the Supplier, You will have made an offer to purchase the Product(s) from the Supplier for whom we are acting as agent and such offer can be accepted or rejected by that Supplier at its discretion and subject to availability.
9.2 Acceptance of Your offer occurs when the Supplier sends You confirmation of Your booking (which is subject to You complying with the Supplier's terms and conditions of business). A contract is formed between You and the Supplier at the time specified in the Supplier's terms and conditions of business.
10.1 We will endeavour to correct any errors and omissions on Our website(s) or Our marketing information, and take appropriate action as soon as practicable after being notified of them. We are not responsible for the content of any Supplier or third party website or marketing information.
10.2 Neither We nor the Supplier are under any obligation to honour bookings for Products where there is a pricing error, even if You have received a confirmation email. In these circumstances, We reserve the right to correct any pricing errors on the website and to either offer You the opportunity to keep Your booking at the correct price or cancel Your booking without liability.
10.3 Images and descriptions on our website(s) are provided by the relevant Supplier and are for illustrative purposes only, to give a general "feel" for the Product(s), and are not intended to be exact representations of the Product(s) that You have booked.
11.1 We may revise these Venue Finding Terms from time to time in the following circumstances:
(a) changes in relevant laws and regulatory requirements; and
(b) as we may reasonably require from time to time.
11.2 Every time You obtain Venue Finding Services from us, the Venue Finding Terms in force at that time will apply to the Agreement between You and us.
11.3 Whenever we revise these Venue Finding Terms in accordance with this clause 11, we will keep You informed and give You notice of this by stating that these Venue Finding Terms have been amended and the relevant date at the top of this page.
11.4 We may:
(a) Deny access to all or any part of the Venue Finding Services or our website(s) if You breaches any of these Venue Finding Terms;
(b) Deny access to all or any part of the Venue Finding Services or our website in the event of an Event Beyond Our Control (as defined in clause 16.2of these Venue Finding Terms);
(c) in the event of any new laws or regulations resulting in any new, or increases to existing, taxes, charges or other fees, pass on such amounts to You, whether or not Your booking has been confirmed.
12.1 No fees are payable by You to Us for the use by You of Our Venue Finding Services.
13.1 We warrant that:
(a) The Venue Finding Services we provide under these Venue Finding Terms will be provided with reasonable skill and care;
(b) We are authorised to provide the Venue Finding Services on these Venue Finding Terms.
13.2 No representations or warranties are made in respect of:
(a) The accuracy, completeness, quality and/or fitness for purpose of any response or data provided by third parties; and
(b) The Venue Finding Services meeting the Customer's individual requirements (or those of their clients or other third parties) and it is the Customer's responsibility to ensure that the Venue Finding Services meet its requirements (and/or those of its clients and other third parties)
13.3 Nothing in these Venue Finding Terms limits or excludes our liability for:
(a) death or personal injury caused by our negligence;
(b) fraud or fraudulent misrepresentation;
(c) breach of the terms implied by section 12 of the Sale of Goods Act 1979 (title and quiet possession); or
13.4 Subject to clause 13.1, we will under no circumstances whatever be liable to You (or Your clients or third parties), whether in contract, tort (including negligence), breach of statutory duty, or otherwise, arising under or in connection with the Agreement for:
(a) any loss of profits, sales, business, or revenue;
(b) loss or corruption of data, information or software;
(c) loss of business opportunity;
(d) loss of anticipated savings;
(e) loss of goodwill; or
(f) any indirect or consequential loss.
13.5 Subject to clauses 13.2, 13.4 (and subject to You complying with Your obligations in accordance with clause 7), if we breach these Venue Finding Terms, we will only be liable for any loss or damage You suffer to the extent that it was a direct and foreseeable result of our breach or our negligence. We are not liable for any loss or damage that is not direct or foreseeable. Loss or damage is foreseeable if it was a natural consequence of our breach or negligence, or if it was contemplated by You and us at the time we entered into these Venue Finding Terms.
13.6 Except as expressly stated in these Venue Finding Terms, we do not give any representations, warranties or undertakings in relation to the Venue Finding Services. Any representation, condition or warranty which might be implied or incorporated into these Venue Finding Terms by statute, common law or otherwise is excluded to the fullest extent permitted by law. In particular, we will not be responsible for ensuring that the Venue Finding Services are suitable for Your purposes.
13.7 We do not give any representations, warranties or undertakings whatsoever in relation to the Products or any other services provided to You by any Supplier that may result from using the Venue Finding Services. As we have previously mentioned, any agreement to take a Product or Products from a Supplier is a direct contract between You and the Supplier and we will not be liable in any circumstances for the failure of that Supplier to deliver the Products on time or at all or with sufficient quality or care.
14.1 You agree to indemnify and hold harmless Us (and Our parent, subsidiary companies and the respective employees, officers and agents) from any claim, demand, and any associated costs, interest asserted by any third party arising out of any breach by You of any of these Venue Finding Terms or as a result of any breach by You of Your obligations.
15.1 This Agreement may be terminated by either party at any time immediately upon written notice to the other party.
16.1 We will not be liable or responsible for any failure to perform, or delay in performance of, any of our obligations under the Agreement that is caused by an Event Outside Our Control. An Event Outside Our Control is defined below in clause 16.2.
16.2 An Event Outside Our Control means any act or event beyond our reasonable control, including without limitation failure or delay by any third party data provider; strikes, lock-outs or other industrial action by third parties, civil commotion, riot, invasion, terrorist attack or threat of terrorist attack, war (whether declared or not) or threat or preparation for war, fire, explosion, storm, flood, earthquake, subsidence, epidemic or other natural disaster, or failure of public or private telecommunications networks or impossibility of the use of railways, shipping, aircraft, motor transport or other means of public or private transport.
16.3 For the avoidance of doubt, Events Outside Our Control may affect a Supplier's ability to provide a Product, or may affect Your enjoyment of a Product. In these circumstances please check the Supplier's website for any relevant information, take note of any travel warnings on government websites, and check Your emails for any other information. If You have any concerns about Your travel arrangements, please contact the Supplier directly
16.4 If an Event Outside Our Control takes place that affects the performance of Our obligations under the Agreement:
(a) we will contact You as soon as reasonably possible to notify You; and
(b) our obligations under the Agreement will be suspended and the time for performance of our obligations will be extended for the duration of the Event Outside Our Control. Where the Event Outside Our Control affects our delivery of Venue Finding Services to You, we will arrange a new delivery date with You after the Event Outside Our Control is over.
17.1 When we refer, in these Venue Finding Terms, to "in writing", this will include e-mail.
17.2 If You wish to contact us in writing for any reason, You can send this to us by e-mail or by pre-paid post to at The Old Church, Albert Hill Street, Manchester, M20 6RF or email to [email protected]. You can always contact us using our Customer Venue Finding Services telephone line.
17.3 If we have to contact You or give You notice in writing, we will do so by e-mail or by pre-paid post to the address You provide to us in Your order.
17.4 If You are a business, please note that any notice given by You to Us, or by Us to You, will be deemed received and properly served immediately when posted on our website, 24 hours after an e-mail is sent, or three days after the date of posting of any letter. In proving the service of any notice, it will be sufficient to prove, in the case of a letter, that such letter was properly addressed, stamped and placed in the post and, in the case of an e-mail, that such e-mail was sent to the specified e-mail address of the addressee. The provisions of this clause shall not apply to the service of any proceedings or other documents in any legal action.
18.1 If You wish to make a complaint about any aspect of our Venue Finding Services, You can do so using our complaints procedure, which is available on request.
18.2 If You wish to make a complaint about any aspect of the Products or the Supplier, You should consult the contractual terms agreed with the Supplier and direct any complaint to that Supplier and not to Us.
19.1 These Venue Finding Terms and our Privacy Policy, Terms of website use and Website Acceptable Use Policy constitute the entire agreement between You and us. You acknowledge that You have not relied on any statement, promise or representation made or given by or on behalf of us which is not set out in these Venue Finding Terms or our Privacy Policy, Terms of website use and Website Acceptable Use Policy.
19.2 We may transfer our rights and obligations under the Agreement to another organisation, but this will not affect Your rights or our obligations under these Venue Finding Terms.
19.3 You may only transfer Your rights or Your obligations under these Venue Finding Terms to another person if we agree in writing.
19.4 This Agreement is between You and us. No other person shall have any rights to enforce any of its terms, whether under the Contracts (Rights of Third Parties Act) 1999 or otherwise.
19.5 Each of the paragraphs of these Venue Finding Terms operates separately. If any court or relevant authority decides that any of them are unlawful or unenforceable, the remaining paragraphs will remain in full force and effect.
19.6 If we fail to insist that You perform any of Your obligations under these Venue Finding Terms, or if we do not enforce our rights against You, or if we delay in doing so, that will not mean that we have waived our rights against You and will not mean that You do not have to comply with those obligations. If we do waive a default by You, we will only do so in writing, and that will not mean that we will automatically waive any later default by You.
19.7 These Venue Finding Terms are governed by English law. This means that the Agreement, and any dispute or claim arising out of or in connection with it or its subject matter or formation (including non-contractual disputes or claims), will be governed by English law. We both agree to the exclusive jurisdiction of the courts of England and Wales.
19.8 For the avoidance of doubt, these Venue Finding Terms do not apply to the agreement You enter into with any Supplier (or Suppliers) for the supply of any Product(s) and You should consult the contractual terms agreed with the Supplier for any issues arising relating to such agreement.
